Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of TalentLens ("the Platform", "the Service"), a recruiting intelligence platform operated by TalentLens ("we", "us", "our"). By creating an account or using the Service, you ("User", "you", "your") agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

TalentLens is a recruiting intelligence platform designed for talent acquisition professionals. The Service enables users to manage job positions, store and organize candidate information, evaluate candidates using AI-powered tools, and streamline the recruitment process.

The Service includes features such as candidate profile management, position tracking, AI-driven matching and evaluation, outreach template generation, and data analytics.

3. Account Registration

To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

4. User Responsibilities as Data Controller

By using TalentLens, you acknowledge and agree that:

a) You are the data controller (as defined under applicable data protection laws including the EU General Data Protection Regulation, "GDPR") for all personal data you upload, input, or otherwise process through the Service, including but not limited to candidate resumes, contact information, employment history, education records, and any other personally identifiable information.

b) You are solely responsible for ensuring that you have a lawful basis for collecting, processing, and storing candidate personal data in accordance with all applicable data protection laws in your jurisdiction and in the jurisdiction of the data subjects whose data you process.

c) You are responsible for informing candidates about the processing of their personal data as required by applicable law, including informing them of their rights regarding their data.

d) You are responsible for responding to data subject requests (access, rectification, erasure, restriction, portability, and objection) in accordance with applicable law. The Service provides tools to assist you in fulfilling such requests, including the ability to delete candidate records.

e) You will not upload or process special category data (sensitive personal data such as racial or ethnic origin, political opinions, religious beliefs, health data, sexual orientation, or biometric data) through the Service unless you have a valid legal basis and explicit consent to do so.

f) You will implement appropriate data retention practices and will not retain candidate data longer than necessary for your legitimate recruitment purposes.

5. Our Role as Data Processor

TalentLens acts as a data processor on your behalf. We process candidate personal data solely to provide the Service to you and in accordance with your instructions. Our data processing obligations are further detailed in our Data Processing Agreement.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload content that is defamatory, discriminatory, or that violates the rights of any third party;
• Attempt to gain unauthorized access to any part of the Service or its infrastructure;
• Use the Service to engage in discriminatory hiring practices based on protected characteristics;
• Reverse engineer, decompile, or disassemble the Service;
• Share your account credentials with third parties;
• Use the Service to send unsolicited bulk communications (spam);
• Process candidate data without a lawful basis.

7. AI-Powered Features

The Service uses artificial intelligence to assist with candidate evaluation, matching, and other recruitment tasks. You acknowledge that:

• AI-generated evaluations and recommendations are provided as decision-support tools and should not be the sole basis for hiring decisions;
• You retain full responsibility for all hiring and recruitment decisions;
• AI outputs may contain inaccuracies and should be reviewed by a qualified human professional;
• In compliance with the EU AI Act, automated evaluations are not used as the sole basis for decisions that significantly affect individuals.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by TalentLens and is protected by intellectual property laws. You retain ownership of all data you upload to the Service.

You grant us a limited, non-exclusive license to process your data solely to provide the Service. We do not use your data to train AI models, sell to third parties, or for any purpose other than delivering the Service to you.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, TalentLens shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from or related to your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TalentLens from any claims, damages, losses, and expenses (including legal fees) arising from your violation of these Terms, your misuse of the Service, or your failure to comply with applicable data protection laws in your role as data controller.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination. After this period, we will delete your data from our systems in accordance with our data retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users located in the European Union, nothing in these Terms shall limit any rights you may have under mandatory local consumer protection or data protection laws.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
